1. Introduction

These Terms and Conditions (“Terms”) govern your use of our Slack app, browser extensions, website, and any related services (collectively, the “App”). By accessing or using the App, you agree to be bound by these Terms.

2. Definitions

  • “App” refers to SimpleURL (formerly uShort), including all its features, functionality, and related services.
  • “User” refers to any individual or entity who accesses or uses the App.
  • “Account” refers to SimpleURL app access in your Slack workspace or through other integrated platforms.

3. Scope of Services

  • The App offers features that allow users to create, search, and manage short URLs on Slack, browser extensions, and other supported platforms.
  • The App is provided on an “as is” basis. We do not guarantee that the App will be error-free, uninterrupted, or secure, and we disclaim any warranties or representations regarding its performance.

4. User Obligations

By using the App, you agree to comply with these Terms, as well as any applicable laws and regulations. You shall not:

  • Access or use the App for any illegal or malicious purposes.
  • Interfere with the operation or security of the App.
  • Distribute or transmit any malware, viruses, or harmful code.
  • Violate the intellectual property rights or privacy rights of others.
  • Engage in any activity that could disrupt or negatively impact the App’s functionality or user experience.

5. Content and URL Management New

  • SimpleURL reserves the right to remove or disable any shortened URL that is deemed inappropriate, abusive, or harmful.
  • SimpleURL may remove or disable URLs that are insecure or unsafe, including links that lead to malicious websites, phishing, or spam.
  • Actions under this section may be taken at our sole discretion, with or without prior notice to the User.

6. Advertising and Monetization New

  • SimpleURL reserves the right to display advertisements, promotional messages, or interstitial pages when redirecting users from a short URL to its destination URL.
  • By using the App, you acknowledge and agree that such advertisements may be shown as part of the service.
  • If third-party advertising partners are used, any related data collection or processing will be handled as described in our Privacy Policy.
Note: If ads are personalized, we will provide appropriate notices and choices (e.g., cookies/consent) as required by applicable law.

7. Intellectual Property

  • All intellectual property rights in the App, including but not limited to trademarks, logos, and software, are the property of SimpleURL or its licensors. You do not acquire any ownership rights by using the App.
  • You shall not reproduce, distribute, modify, or create derivative works based on the App or any of its content without prior written permission from SimpleURL.

8. Subscriptions and Charges on Your Billing Account

SimpleURL offers subscription plans (Basic, Pro, and Enterprise) to access premium features of the App. All payments are processed through Paddle, our Merchant of Record, in accordance with their Buyer Terms. By enrolling in a subscription plan, you agree to the following terms:

8.1 Billing Account

  • When you select a subscription plan, you must provide valid billing information (your “Billing Account”) to Paddle. This includes payment methods such as credit/debit cards or other supported options.
  • By enrolling, you authorize Paddle to charge your Billing Account the fees for the selected plan (Basic, Pro, or Enterprise) at the rates in effect at the time of enrollment.
  • SimpleURL, through Paddle, reserves the right to correct any billing errors or mistakes, even after requesting or receiving payment, and to update your Billing Account information from available third-party sources.
  • All subscription fees are in US Dollars unless otherwise specified. The terms of your payment are governed by agreements between you and your payment provider (e.g., credit card issuer). If Paddle cannot process payment from your Billing Account, you agree to pay all amounts due upon demand.

8.2 Free Trial or Promotional Period

  • Some plans may include a free trial or promotional period at a reduced rate, as specified during enrollment. After this period, your Billing Account will automatically be charged the regular plan rates unless you cancel before the trial ends.
  • You accept responsibility for all recurring charges unless and until you cancel your subscription. To manage or cancel your subscription contact contact@simpleurl.tech.

8.3 Refund Policy

We offer a 14-day money-back guarantee for all subscription plans to ensure satisfaction with SimpleURL’s services.
Eligibility:
  • Refund requests must be submitted within 14 days from the date of purchase or subscription renewal.
  • Applies to Basic, Pro, and Enterprise plans, including monthly and annual subscriptions.
  • No specific reason is required, though we may request feedback to improve our services.
Exceptions:
  • Requests submitted after the 14-day period are not eligible.
  • Custom services for Enterprise plans (e.g., bespoke integrations or dedicated support) are non-refundable once delivered, as agreed during the quoting process.
  • No refunds will be issued for subscriptions associated with accounts suspended or terminated due to malicious or unintended use of the App, including but not limited to violations of Section 4 (User Obligations) or Section 5 (Content and URL Management), such as creating URLs for phishing, spam, or malware distribution.
How to Request a Refund:
  • Contact our support team at contact@simpleurl.tech within 14 days.
  • Provide your Paddle transaction ID or subscription ID (found in your confirmation email or Paddle account).
  • Refunds will be processed via Paddle within 5–7 business days to the original payment method.
  • As our Merchant of Record, Paddle handles all payments and refunds in accordance with their Buyer Terms.

8.4 Cancellation

  • You may cancel your subscription at any time by contacting contact@simpleurl.tech.
  • Monthly Plans: If you cancel a monthly plan, you will retain access to the App’s services until the end of the paid-for billing period. No further charges will be applied after that period.
  • Annual Plans: If you cancel an annual plan, you will retain access until the end of the paid-for billing period. No further subscription charges will be applied, though a prorated refund (subject to a cancellation fee) may be available upon request to contact@simpleurl.tech.
  • Enterprise Plans: Custom services (e.g., integrations) are non-refundable, but the subscription portion may be canceled with access until the end of the billing period.
  • Refunds for cancellations outside the 14-day period are at SimpleURL’s discretion.

8.5 Current Information Required

  • You must promptly notify SimpleURL via contact@simpleurl.tech if your Billing Account is canceled (e.g., due to loss or theft) or if you become aware of a potential security breach, such as unauthorized disclosure of your account details.
  • Failure to update your Billing Account information may result in continued charges for any use of the App under your Account until we have evidence of subscription termination.

8.6 Change in Amount Authorized

  • If the subscription fee changes (e.g., due to a price adjustment, excluding changes in taxes), SimpleURL will provide at least 10 days’ notice via email or the App before the new rates are charged to your Billing Account.
  • You agree that Paddle may accumulate charges (e.g., for overages or additional features) and submit them as one or more aggregate charges during or at the end of each billing cycle.

9. Privacy and Data Collection

  • We respect your privacy and handle your personal information in accordance with our Privacy Policy. By using the App, you consent to the collection, storage, and use of your data as outlined therein.
  • The App may utilize third-party services. Such data collection and processing are subject to the terms and policies of the respective third-party providers.

10. Account Management

  • We reserve the right to suspend or terminate your account at any time, without prior notice, if we suspect any unauthorized or abusive activity.

11. Disclaimers and Limitations of Liability

  • The App is provided “as is” without any warranties, express or implied. We do not warrant that the App will be error-free, secure, or accessible at all times.
  • We shall not be liable for any damages or losses arising from your use of the App, including but not limited to direct, indirect, incidental, or consequential damages.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without giving effect to any principles of conflicts of law.
